Thin Line Force & Backing The Brave TX

Spring, Texas
This Sponsorship Agreement (“Agreement”) is entered into by and between Thin Line Force, a Texas nonprofit corporation and recognized 501(c)(3) charitable organization (“TLF”), Backing The Brave TX LLC (“BTBTX”), and the sponsor submitting a sponsorship donation through the website checkout (“Sponsor”).
By completing the sponsorship checkout, submitting sponsor information, checking the required agreement acknowledgments, typing the authorized representative’s full name, and submitting payment, Sponsor agrees to the terms of this Agreement.
Sponsor Information
Sponsor agrees that the business, organization, contact, address, phone, email, website, authorized representative, and title submitted during checkout are the Sponsor Information for this Agreement.
Sponsorship Selection
Sponsor agrees that the sponsorship package selected and submitted through checkout is the sponsorship level for this Agreement.
Available sponsorship levels may include:
- Title Sponsor – $10,000
- Presenting Sponsor – $5,000
- Kids Zone Sponsor – $3,000
- Shuttle / Golf Cart Sponsor – $3,000
- Resource Village Sponsor – $3,000
- Community Sponsor – $2,500
- Volunteer Sponsor – $2,500
- Supporting Sponsor – $1,000
Payment Terms
Sponsor agrees to pay the sponsorship amount associated with the selected sponsorship level.
All sponsorship payments shall be made payable to Thin Line Force.
Online payment is due at the time of checkout unless other arrangements have been approved in writing by Thin Line Force and/or Backing The Brave TX.
All sponsorship payments are non-refundable.
In the event of severe weather, emergency conditions, government action, venue restrictions, acts of God, public safety concerns, or circumstances beyond the control of TLF or BTBTX, sponsorship funds may be retained and applied toward rescheduling, replacement programming, future community initiatives, or future events.
Additional Sponsorship Payment and Tax Disclosures
Sponsor acknowledges and agrees that all sponsorship payments made pursuant to this Agreement shall be paid directly to Thin Line Force, a federally recognized 501(c)(3) nonprofit organization.
Sponsor further acknowledges that sponsorship payments are non-refundable except in the event that Thin Line Force cancels the event and, at its sole discretion, elects to issue refunds.
Sponsor understands and agrees that sponsorship benefits, marketing opportunities, promotional recognition, vendor space, naming rights, and other benefits associated with the selected sponsorship package are provided in exchange for the sponsorship payment.
Thin Line Force and Backing The Brave TX do not provide legal, accounting, or tax advice. The tax deductibility of any sponsorship payment, in whole or in part, is solely the responsibility of the Sponsor and should be determined in consultation with the Sponsor’s independent tax advisor, accountant, or legal counsel. Thin Line Force will provide appropriate payment documentation and receipts as required by applicable law.
Sponsor Benefits
TLF and BTBTX agree to provide the sponsorship benefits associated with the selected sponsorship package, subject to availability, production deadlines, venue restrictions, and operational requirements.
Sponsor understands that certain promotional opportunities may require submission of logos, advertisements, artwork, or other materials by deadlines established by TLF and BTBTX.
Failure to provide requested materials by the stated deadlines may result in reduced promotional opportunities without refund.
Independent Organizations
Sponsor acknowledges that Thin Line Force and Backing The Brave TX are separate legal entities. Sponsorship payments are processed through Thin Line Force. Event operations may be conducted jointly by both organizations.
Limitation of Liability
To the fullest extent permitted by Texas law, Sponsor agrees that Thin Line Force, Backing The Brave TX, their officers, directors, members, employees, volunteers, agents, representatives, contractors, affiliates, sponsors, venue partners, and event participants shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to participation in the event.
Sponsor further agrees that the total liability of Thin Line Force and Backing The Brave TX for any claim arising under this Agreement shall not exceed the amount actually paid by Sponsor under this Agreement.
Release and Hold Harmless
Sponsor voluntarily assumes all risks associated with participation in the event.
Sponsor agrees to release, defend, indemnify, and hold harmless Thin Line Force, Backing The Brave TX, their officers, directors, members, volunteers, employees, agents, contractors, affiliates, and venue partners from any claims, demands, damages, liabilities, losses, costs, expenses, or attorney’s fees arising from:
- Sponsor’s participation in the event;
- Sponsor’s products, services, displays, materials, equipment, or personnel;
- Injury, death, property damage, theft, or loss associated with Sponsor’s participation;
- Any violation of applicable laws or regulations by Sponsor.
Insurance
Sponsor is solely responsible for obtaining any insurance coverage deemed necessary for participation in the event.
Thin Line Force and Backing The Brave TX do not provide insurance coverage for sponsors, vendors, exhibitors, employees, agents, or property.
Force Majeure
Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to weather events, natural disasters, public health emergencies, terrorism, governmental actions, labor disputes, utility failures, venue issues, or acts of God.
Photography and Media Release
Sponsor grants Thin Line Force and Backing The Brave TX permission to photograph, video record, and otherwise capture Sponsor’s name, logo, representatives, booth, and activities during the event for promotional, educational, fundraising, and marketing purposes without additional compensation.
No Guarantee of Attendance or Sales
Sponsor acknowledges that Thin Line Force and Backing The Brave TX make no guarantees regarding:
- Attendance levels
- Sales volume
- Leads generated
- Business opportunities
- Media coverage
- Return on investment
Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, representations, or agreements.
This Agreement shall be governed by the laws of the State of Texas.
Electronic Acknowledgment
By checking the required agreement boxes during checkout, typing the authorized representative’s full name, and completing the sponsorship donation, Sponsor acknowledges that the checkout submission serves as Sponsor’s electronic acknowledgment and acceptance of this Sponsorship Agreement.
